Our Relationship with the Delaware Division of Corporations

The Incorporators Ltd. is a Delaware commercial registered agent and an authorized user of the Delaware Corporation Information System (DCIS). 

DCIS is the Delaware Division of Corporations' integrated information system. Our access is governed by a formal agreement with the State of Delaware, Department of State, Division of Corporations.

As an authorized DCIS user, The Incorporators can work directly through the state's system on behalf of our clients for permitted Delaware corporate services.We are publically listed as a Delaware Registered Agent and as a Registered Agent with Remote Access.

Certificates of Good Standing and Certified Copies

Our authorization through the Delaware Division of Corporations allows us to produce certain official Delaware corporate documents through DCIS.

The State of Delaware's DCIS User Agreement provides that Certificates of Good Standing and other official Certificates of the Secretary of State's office may be produced by Delaware personnel or an authorized DCIS User. The agreement also permits authorized DCIS Users to produce certified and plain copies of documents filed with the Delaware Secretary of State.

This direct access allows The Incorporators to obtain and deliver Delaware Certificates of Good Standing, certified copies, and other eligible corporate documents for our clients.

Delaware Registered Agent Services

The Incorporators is a Delaware commercial registered agent. Delaware law requires corporations, LLCs, and certain other business entities formed in Delaware to maintain a registered agent with a physical presence in the state.

Our Newark, Delaware office serves as the registered office for businesses that appoint The Incorporators as their Delaware registered agent.

Delaware Business Formation and Filing Services

In addition to registered agent and document retrieval services, we assist clients with forming and maintaining Delaware business entities.

Our services include Delaware corporation and LLC formations and other permitted business entity filings submitted to the Delaware Division of Corporations on behalf of our clients.

UCC Services

The Delaware Division of Corporations also publicly identifies The Incorporators Ltd. as an Authorized UCC Filer and Authorized UCC Searcher.

Our access is subject to the requirements and procedures established by the Delaware Division of Corporations for authorized UCC services.

An Independent Delaware Corporate Service Company

The Incorporators Ltd. is a privately owned corporate service company.

We are not the State of Delaware, the Delaware Division of Corporations, or any other government agency.

Our clients hire us to provide registered agent, filing, document retrieval, and related corporate services. Fees charged by The Incorporators may include both our service fees and applicable government fees.  

Our relationship with the Delaware Division of Corporations allows us to access DCIS and perform authorized services on behalf of our clients, but it does not constitute an endorsement of The Incorporators by the State of Delaware.

Meet the Team

Kathy Hundley, President

Kathy is a life-long resident of Delaware. After 10 years in banking, she received her Paralegal Certification at the University of Delaware, specializing in Corporate and Business Legal Transactions. In 2010, Kathy acquired The Incorporators Ltd., having worked in the business since 1997.

Corporate matters can sometimes be scary and confusing. Business owners have so much to think about and do on a daily basis, and I‘m proud to offer services and assistance to make the company formation and maintenance process quick, affordable and simple.”

When not working with clients and managing her own business, Kathy enjoys spending time at the Delaware beaches. Kathy and her husband, John, have four children, one cat, and two dogs (who all the kids suspect are her favorites).

Tammy Callaway, Customer Experience Manager

Tammy began her career at the Division of Corporations at the age of 18, embarking on a three-decade journey of dedicated service to the state. Throughout her tenure, she garnered extensive expertise in the intricacies of the Delaware General Corporation Law and the Uniform Commercial Code. Additionally, her tenure at the Division of Professional Regulation saw her spearhead the implementation of the online licensing system.

Tammy looks forward to the opportunity to further develop her role as Customer Experience Manager and use her expertise to provide exceptional service to our clients.

Tammy lives in Dover with her husband and two rescue dogs, Lucy and Bentley.

Tara D'Ottavio, Senior Client Service Specialist

Tara Received her associate's degree in Liberal Arts from Delaware County Community College. She has extensive customer service experience and expertise in corporate services and corporate compliance with a specialty in annual reports.

In her free time, Tara enjoys learning foreign languages, visiting her happy place - the beach, and spending time with her adopted cat named Henry. 

Nadine Basri, Senior Digital Strategy Specialist

Nadine Basri received her bachelor’s degree in Communications from the University of California, Davis. With experience in both the private and healthcare sectors, Nadine brings a passion for relationship building, digital marketing, and writing to The Incorporators Ltd.  

She lives outside of Philadelphia with her husband, three children, and neurotic golden retriever.
